Utility Belt Labs — Terms of Service

Welcome to Utility Belt Labs. These Terms of Service (“Terms”) are an agreement between you and Utility Belt Labs (“Utility Belt Labs”, “we”, “us”) and govern your use of our products, including ListWise Pro, MarginGuard Pro, ClearRank SEO and FeeAudit (collectively, the “Services”).

By creating an account or using any of our Services, you agree to these Terms. If you use the Services for a business, you confirm you can accept these Terms for it.

1. No Guarantees of Results

The Services provide analysis, suggestions, estimates and tools only. We do not guarantee increased sales, search rankings, profits, traffic, recovery of marketplace fees, or any specific business results. Outcomes depend on many factors outside our control. FeeAudit results are estimates to verify, not confirmed overcharges.

2. Use of the Services

You may use the Services for your own business purposes. You are responsible for reviewing all suggestions before applying them, and for following the rules of the marketplaces and platforms you use (Amazon, Walmart, Google, Apple and others).

3. AI-generated content

Some features use AI (provided by xAI) to draft text, such as listing rewrites, website fixes and review replies. AI output is generated automatically and may be inaccurate, incomplete or unsuitable, and similar output may be generated for other users. Review and edit every AI draft before you use or publish it; you are responsible for what you publish. Do not rely on AI output as legal, tax or financial advice. Only send content to AI features that you have the right to share. AI features may be limited, paused or unavailable at times (for example when a usage limit is reached); the rule-based features and templates keep working.

4. Acceptable use

You agree not to: (a) use ClearRank SEO or any feature to fetch, analyze or scrape websites you are not authorized to analyze, or at a volume that burdens them; (b) attempt to bypass plan limits, access controls or security; (c) upload unlawful content or content you have no right to use; (d) use the Services to send spam or to solicit fake, paid or incentivized reviews; (e) reverse engineer or resell the Services except as allowed by law.

5. Accounts

You must provide accurate information. You are responsible for keeping your login credentials secure and for activity under your account.

6. Subscriptions, auto-renewal and cancellation

  • Paid plans (ListWise Pro, MarginGuard Pro, FeeAudit and ClearRank SEO, each on its own, and the Utility Belt Labs Full Suite, which includes all four) are billed monthly in advance, in US dollars, through Stripe at the price shown when you subscribe.
  • Subscriptions renew automatically each month and your payment method is charged at the start of each billing period until you cancel.
  • How to cancel: sign in and go to Billing → Manage billing (the Stripe billing portal), then cancel the plan. Cancellation takes effect at the end of the current billing period; you keep access until then.
  • Plans bought before October 29, 2026 that were sold only alongside ListWise Pro keep working only while ListWise Pro is active; you can switch to a current plan at any time.
  • Refunds: we do not provide refunds for partial billing periods unless required by law.
  • Price changes: we will give at least 30 days’ notice by email before a price change applies to your subscription; you can cancel before it takes effect.
  • Test mode: while the site states it is in Stripe test mode, no real charges are made.

7. Your content

You keep ownership of the files, listings, website URLs, reviews and other content you provide. You give us permission to process it only as needed to provide the Services (including sending it to our service providers, such as xAI when you use an AI feature), as described in our Privacy Policy.

8. Termination

You may stop using the Services and delete your account at any time (Settings → Delete my account, after cancelling active subscriptions). We may suspend or terminate access if you breach these Terms or misuse the Services, with notice where reasonable.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law.

10. Limitation of Liability

To the extent permitted by law, Utility Belt Labs will not be liable for any indirect, incidental, special or consequential damages, including lost profits, arising from your use of the Services. Our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim or US$100.

11. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Ohio.

12. Changes to these Terms

We may update these Terms. We will post the new version here with a new “Last updated” date and, for material changes, email account holders at least 30 days before they take effect. Continuing to use the Services after that means you accept the updated Terms.
